I. Condiciones Generales de Contratación
§1 Disposiciones Fundamentales
§5 Refrigerantes y Productos Sujetos a Certificación
b) You must inspect the goods immediately upon Delivery. You must notify us in writing of any obvious Defects, incorrect Deliveries and Discrepancies in quantity within Seven Days of Delivery; hidden defects must be reported immediately upon discovery. Furthermore, any Damage caused in transit must be noted on the Carrier’s Delivery note at the Time of Delivery. If such notification is not provided in Good Time, the goods shall be deemed to have been accepted (Section 377 of the German Commercial Code (HGB)).
c) In the Event of Defects, we shall, at our discretion, fulfil our Warranty Obligations by either rectifying the Defect or Supplying a Replacement. The Goods in question must be made available to us for inspection upon request. We shall only reimburse costs incurred for the removal of the defective Goods and the Installation of the repaired or replacement Goods (Section 439(3) of the German Civil Code (BGB)) insofar as the removal and Installation were agreed with us prior to being carried out, were performed by a specialist firm, and the costs are customary for the locality and reasonable. If the rectification of the Defect Fails, you may, at your discretion, demand a reduction in Price or Withdraw from the Contract. The rectification of Defects shall be deemed to have failed after a second unsuccessful attempt, unless the nature of the goods or the defect, or other circumstances, indicate otherwise. In the event of rectification, we shall not be required to bear any increased Costs arising from the Goods being transported to a location other than the place of Performance, provided that such Transport does not correspond to the intended use of the Goods.
d) The Warranty Period is one year from the Date of Delivery of the Goods. This reduction in the Warranty period does not apply to damage attributable to us arising from injury to Life, Limb or Health, or to other damage caused intentionally or through gross Negligence; nor does it apply where we have fraudulently concealed the defect or have given a Guarantee as to the Quality of the Goods; in the case of Goods which, in accordance with their normal use, have been used in a building and have caused its Defectiveness; and in the case of statutory rights of recourse which you have against us in connection with rights arising from Defects.
e) In Particular, a Material Defect shall not be deemed to exist in the case of Damage or Malfunctions arising after the transfer of risk as a result of improper Installation or Commissioning, operation outside the Manufacturer’s specifications, the use of unauthorised Refrigerants, Oils or Operating Fluids, incorrect System Design, natural wear and tear, or interference by unqualified Persons.
§8 Complaints Regarding Compressors
(1) Compressors must be properly drained of Refrigerant before being Returned; all connections must be sealed or soldered shut. Please arrange the return with our Customer Service Team in advance.
(2) Please enclose with your Complaint Proof of Correct Installation and Commissioning by a Certified Specialist Contractor (e.g. a Commissioning Report Containing Operational data or an Invoice from the Installation Company). This proof will enable us to investigate the Cause of the Fault.
(3) If you are a Business Owner, we may defer Processing the Complaint until we have received the Information and Documentation required to investigate the cause of the Defect. If a Complaint proves to be unfounded because no defect exists, and you were able to Recognise this, we may charge you for the Inspection and Transport Costs we have incurred.
(4) If you are a Consumer, your statutory rights remain unaffected by the above provisions.
§9 Liability
(1) We shall be Liable without Limitation for Damages Resulting from loss of Life, Personal Injury or Damage to Health; for Damages arising from wilful Misconduct or Gross negligence; under the Product Liability Act; and insofar as we have fraudulently concealed a Defect or have given a Guarantee as to the Quality of the Goods.
(2) In the event of a breach of a Material Contractual obligation arising from slight Negligence, our Liability shall be limited to compensation for the loss typical of the Contract and Foreseeable at the time the contract was concluded. Material Contractual Obligations are those the fulfilment of which is essential for the proper Performance of the Contract and on the observance of which you may reasonably rely.
(3) Furthermore, we shall not be Liable for Damage caused by slight negligence. This applies in particular to Indirect and Consequential Damage, such as loss of Profit, Production or Operational downtime, Spoilage of Refrigerated Goods, the Cost of Replacement Goods, and the Cost of Emergency and Immediate Measures.
(4) The above Limitations of Liability also apply in favour of our legal Representatives, Employees and Vicarious Agents, as well as to claims arising from tort.
(5) If you are a Business Owner, claims for Damages against us – with the Exception of the cases referred to in Paragraph 1 – shall become Time-Barred one year from the start of the statutory Limitation Period.
§10 Article 2. Selection (Second-Grade Goods)
(1) Items expressly labelled as ‘B-Grade’, ‘second choice’ or similar are New Items with Cosmetic Flaws, Signs of Storage or Transport, or Damaged or Missing Original Packaging. The specific issues are detailed in the relevant Product Description.
(2) The deviations Specified form Part of the agreed Quality and do not constitute a Material Defect. In relation to Consumers, this applies only insofar as you were specifically informed of the Deviation before placing your Order and the Deviation was Expressly and Separately agreed (Section 476(1), Second Sentence, of the German Civil Code (BGB)).
(3) Furthermore, the statutory Rights in respect of Liability for Defects and the statutory Warranty period apply to these Items. Section 7(4) applies to Transactions with Businesses.
§11 Export Controls
If you are a Business Owner, you are responsible for Complying with the Applicable Export Control and Sanctions Regulations of the European Union and the Federal Republic of Germany when Reselling or Exporting the Goods. You shall not Supply the Goods, either Directly or Indirectly, to Countries or Persons subject to relevant restrictions, in particular not to Russia or Belarus, insofar as the goods are covered by an Export ban. We are entitled to refuse to fulfil a Contract insofar as it conflicts with Export Control or Sanctions Regulations.
§12 Choice of Law, Place of Performance, Jurisdiction
(1) German law shall apply. In the case of Consumers, this choice of law shall apply only in so far as it does not deprive the Consumer of the Protection afforded by Mandatory provisions of the law of the country in which the Consumer has their habitual residence (Principle of Favourability).
(2) The Place of Performance for all obligations arising from Business Relationships with us, as well as the Place of Jurisdiction, shall be our Registered Office, provided that you are not a Consumer but a Trader, a legal entity under public law or a special fund under public law. The same shall apply if you do not have a general Place of Jurisdiction in Germany or the EU, or if your place of residence or habitual abode is unknown at the time the action is brought. The right to bring Proceedings before a court at another statutory Place of Jurisdiction remains unaffected by this.
(3) The provisions of the UN Convention on Contracts for the International Sale of Goods are expressly excluded.
